The Acquisition of the Fair Mouse – Legal Framework

Dear friends of the Fair Mouse,

After discussing a range of models and legal issues, we determined that we cannot simply adopt Nager IT’s special-purpose operation model along with the inventory due to non-profit law. In short, we needed a holding company to manage the investors’ capital and also transfer the inventory.

Our members Max and Daniel founded the holding company and additionally invested €30,000 of their own money as loans, as well as reaching a final financing agreement with Nager IT. Together with other members of the community, we provided a default guarantee to ensure the agreed financing. The new Fair Mouse Marketplace and Fair IT yourself, along with our partner NUNC e.G., now form a sustainable alliance for fair IT.

Based on this structure, we secure the continued existence of the fair mouse as well as the further development of fair IT. Open documentation and collaboration, along with community-based development, are key to successful growth of these ideas. The above sketch of the transition scenario shows how this will work. Initially, management of the Fair Mouse Marketplace will be taken over by the holding company (GbR), while the organization focuses primarily on continuing the project, educational work, and the community. At the same time, we are in discussions with the cooperative NUNC to establish a jointly managed gGmbH, through which the production and distribution of fair IT will be enabled and professionalized in the future.
